Terms of Service

1. Acceptance and eligibility

By accessing the website or using our services, you accept these terms and represent that you have authority to bind the organization you represent. Our services are primarily intended for organizations and business users.

2. Services

ITL provides consulting, implementation, development, support, integration, and managed services involving Odoo, data, artificial intelligence, messaging, and other platforms. The applicable scope, deliverables, pricing, service levels, and schedule are set out in the relevant proposal, order form, or agreement.

3. Accounts and security

Customers must provide accurate information, limit access to authorized personnel, protect passwords, tokens, and devices, and promptly notify us of unauthorized access. Customers are responsible for activity through their accounts except where applicable law provides otherwise.

4. Acceptable use

You may not use the services to violate law or rights; send spam or messages without a valid legal basis or consent; transmit malicious, deceptive, or prohibited content; compromise systems; bypass technical or platform controls; or collect or use personal data without authorization. We may suspend activity that creates a security risk, legal violation, or breach of third-party policies.

5. WhatsApp and third-party services

Messaging features depend on third parties, including Meta/WhatsApp, Gupshup/OneDirect, carriers, and cloud providers. Customers must comply with their terms, commerce and messaging policies, consent requirements, templates, and quality rules. ITL does not control third-party approval, availability, pricing, or enforcement decisions and does not guarantee approval of any account, application, template, or number.

6. Customer data and content

Customers retain their rights in data and content they provide and grant ITL the limited permissions needed to deliver, protect, and support the service. Customers represent that they have the required rights, notices, and legal bases. Personal data is also governed by the Privacy Policy, the applicable agreement, and any data processing agreement.

7. Intellectual property

ITL and its licensors retain rights in their software, methods, documentation, brands, and pre-existing materials. Rights in customer-specific developments and deliverables are determined by the applicable agreement. No rights are transferred by implication.

8. Fees and taxes

Fees, currency, taxes, expenses, messaging usage, and payment terms are set out in the applicable commercial document. Third-party charges may change and may be passed through where agreed.

9. Confidentiality

Each party will protect the other party's confidential information using reasonable care and use it only for the authorized relationship, except where disclosure is legally required. Specific confidentiality terms in a signed agreement control.

10. Availability and warranties

We provide services with reasonable professional care. Except for express warranties in an agreement, the website and services are provided as available and to the extent permitted by law. We do not guarantee uninterrupted operation of third-party platforms or particular business outcomes.

11. Liability

Allocation and limits of liability are governed by the applicable agreement. If no specific terms apply, neither party will be liable for indirect or consequential damages to the maximum extent allowed by law. Nothing excludes liability that cannot lawfully be limited.

12. Suspension and termination

We may suspend access to protect systems, users, or third parties, comply with law, or address a material breach. Termination, return, export, and deletion of data are governed by the applicable agreement and instructions.

13. Governing law and changes

Unless otherwise agreed in writing, these terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-laws rules. We may update these terms by posting a new version; material changes apply prospectively.
